Lionel Beta Access Terms

Who these terms apply to

These terms apply to each individual end user authorised by an organisation that has been granted access to Lionel by Lionel.ai Pty Ltd. Your right to use Lionel is personal to you, limited, revocable and subject to these terms and any lawful instructions issued by your organisation or Lionel.ai Pty Ltd.

Beta service and no production reliance

Lionel is a beta version under active development. Access is provided for internal evaluation, testing and feedback purposes only. You must not rely on Lionel as a production version, a substitute for professional judgment, or a system for delivering final client-facing work without independent review and approval.

Permitted use

You must:

• use Lionel only for your organisation's internal evaluation, beta testing and permitted internal workflow trials;
• use Lionel only in sandbox, test or other approved environments; and
• follow all user guidance, policies and usage limits notified by your organisation or Lionel.ai Pty Ltd, including any restrictions relating to client data, personal information or security.

Prohibited conduct

You must not:

• reverse engineer, decompile, disassemble, probe or otherwise attempt to derive Lionel's source code, models, prompts, weights, architecture or underlying structure;
• use Lionel or any output from Lionel to build, train, fine-tune, validate or improve a competing product, model or service;
• benchmark Lionel, publish performance results, or disclose technical evaluations without prior written consent;
• share access with another person, allow a third party to use Lionel through your credentials, or provide Lionel outputs externally except as expressly authorised;
• use Lionel for production, commercial deployment or unsupervised client-facing purposes; or
• remove proprietary notices or challenge Lionel.ai Pty Ltd's ownership of Lionel or related intellectual property.

Intellectual property

All intellectual property rights in Lionel, its models, software, interfaces, documentation, outputs format, branding and related technology remain with Lionel.ai Pty Ltd or its licensors. Except for the limited access right granted under these terms, no ownership or other rights are transferred to you.

Feedback, improvements and moral rights consent

If you provide suggestions, comments, reports, test results or other feedback about Lionel:

• that feedback may be used, modified, commercialised and exploited by Lionel.ai Pty Ltd without restriction and without compensation to you;
• to the extent you hold any rights in feedback or improvements arising from your use of Lionel, you assign those rights to Lionel.ai Pty Ltd with effect immediately on creation; and
• you consent to acts or omissions by Lionel.ai Pty Ltd that might otherwise infringe any moral rights in that feedback or those improvements.

Confidentiality

You must keep confidential all non-public information about Lionel, including these terms, features, interfaces, documentation, test results, performance information, product plans and any other information that a reasonable person would understand to be confidential.

• You may use confidential information only to access and evaluate Lionel as permitted by these terms.
• You must not copy, memorise, extract, record or disclose confidential information except as strictly necessary for that permitted purpose and within your organisation on a need-to-know basis.
• On request, or when your access ends, you must stop using Lionel and permanently delete or destroy confidential information and any local copies, notes or materials derived from it, to the extent within your possession or control.

Patent-sensitive information

You acknowledge that Lionel and related technology may be the subject of provisional or pending patent applications. You must not publish, present, disclose or communicate information about Lionel in a way that could prejudice novelty, validity or enforceability of those rights.

Privacy and data handling

You must comply with all directions given by your organisation and Lionel.ai Pty Ltd about personal information, client information and other regulated data. You must not upload or disclose personal information or confidential client material unless your organisation has authorised that use and all applicable privacy and confidentiality requirements are satisfied.

Security and access credentials

You must keep your login credentials secure, use Lionel only through approved access channels, and promptly notify your organisation or Lionel.ai Pty Ltd of any suspected unauthorised access, security incident, legal claim or allegation relating to Lionel.

Suspension and termination

Your access may be suspended or terminated immediately if your organisation's access ends, if you breach these terms, if continued access creates legal, security or confidentiality risk, or if Lionel.ai Pty Ltd stops the beta program.

• When access ends, you must immediately stop using Lionel.
• Any rights previously granted to you end immediately.
• Clauses dealing with intellectual property, feedback, confidentiality, patent protection, restrictions on use, privacy, disclaimers and governing law continue after termination.

Changes to these terms

Lionel.ai Pty Ltd may update these terms from time to time. Updated terms will apply from the time they are presented to you or otherwise made available in connection with continued use of Lionel. If you do not agree to an update, you must stop using Lionel.

General

• These terms do not give you any right to transfer access or grant rights to another person.
• If any provision is unenforceable, the remaining provisions continue to apply.
• These terms are governed by the laws of Victoria, Australia, and you submit to the federal and state courts located in Victoria.
• These terms benefit Lionel.ai Pty Ltd, your organisation and their respective licensors to the extent necessary to give effect to them.
